HANNOVER HOUSE LEGAL RESPONSES / FILINGS IN GETTING GRACE MATTER
Greetings HHSE Friends & Followers - In compliance with advice from the company's legal counsel, we are limiting discussion and commentary on all legal matters - but providing shareholder information by posting key filings. With respect to "GETTING GRACE," the company finally filed its first answer and affirmative defenses in the lawsuit (which Plaintiff's launched nearly 18-months ago, but filed in the improper venue - Pennsylvania. HHSE had to contest the venue before filing a response... now that we prevailed on moving the case to Arkansas, we are finally able to present our responses and affirmative defenses).
The bottom line summary of our position is that Getting Grace LLC "secretly" hired another distributor (Premiere Entertainment Group, LLC) prior to Sept. 6, 2018 - which was at least four (4) months prior to the maturation of the distribution guarantee. There is conflicting language in the agreement that the distribution guarantee was to have been due "on or before the end of the twelfth month following delivery..." and elsewhere as "Dec. 31, 2018." Delivery was made on March 7, 2018. Regardless, hiring another distributor four (or more) months before the maturation of the distribution guarantee was an act of bad faith at the very least, and more directly, a legal and equitable basis for termination of all contractual obligations.
We are confident that Hannover House, Inc. / Medallion Releasing, Inc. have a solid position - and further that the additionally named defendants (the company's officers) were acting in their capacities under the corporation and are not personally liable for actions of the corporation.
